Terms of Service

These Terms of Service (“Terms”) govern your use of ChatAgent, operated by SolopreneursAI Inc (“ChatAgent,” “we,” “us,” or “our”). By using our services, you agree to these Terms.

1. Acceptance of terms

By creating an account or using ChatAgent, you agree to be bound by these Terms and our Privacy Policy. If you’re using ChatAgent on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The service

ChatAgent provides AI-powered agents for WhatsApp commerce, including:

  • Auto-reply agent — AI that responds to customer inquiries on WhatsApp
  • Repeat order agent — AI that sends automated follow-up messages
  • Shared team inbox — unified conversation management
  • Catalog and order management — product sync and order processing
  • Analytics — revenue, conversation, and performance metrics

We may update, modify, or discontinue features at any time. We’ll provide reasonable notice for material changes.

3. Account requirements

  • You must be at least 18 years old to create an account
  • You must provide accurate and complete registration information
  • You’re responsible for maintaining account security
  • You must have a valid WhatsApp Business API number to use the messaging features
  • One person or entity may not maintain more than one free account

4. Acceptable use

You agree to use ChatAgent in compliance with all applicable laws, including:

  • WhatsApp Business Policy — you’ll follow Meta’s WhatsApp Commerce and Business Policies
  • Anti-spam laws — you won’t send unsolicited messages or use purchased contact lists
  • Consumer protection — you’ll honor orders, refund policies, and local regulations
  • No abuse — you won’t use the AI to mislead, harass, or defraud anyone

We reserve the right to suspend or terminate accounts that violate these terms.

5. Your data

  • You own your data. We don’t sell your customer data or conversation content.
  • You license us to process it. To provide the service, we process your data (catalog, conversations, customer info) on your behalf.
  • We may use aggregated, anonymized data for product improvement. This never identifies you or your customers individually.

6. Pricing and payment

  • Plans and pricing are listed at chatagent.so/pricing
  • We may change pricing with 30 days’ notice for existing subscribers
  • Add-ons (extra numbers, CRM integration, API access) are billed monthly in addition to your base plan
  • Unused conversations do not roll over to the next month
  • Failed payments will retry for up to 7 days before account suspension

7. Cancellation and refunds

  • You may cancel your plan at any time from the dashboard
  • Cancellation takes effect at the end of the current billing cycle
  • No partial-month refunds
  • Free plans can be canceled at any time with no penalty
  • If we suspend your account for violating these Terms, no refund is provided

8. Intellectual property

  • Our IP — ChatAgent’s software, branding, documentation, and website are owned by us. These Terms don’t grant you any rights to use our trademarks, logos, or brand assets without written permission.
  • Your IP — Your brand, catalog, and content remain yours. You grant us a limited license to use them solely to provide the service.
  • AI-generated content — Responses generated by our AI agents for your customers are yours to use. We don’t claim ownership over them.

9. Third-party integrations

When you connect third-party services (Shopify, Tokopedia, GoPay, etc.):

  • You’re subject to their terms of service in addition to ours
  • We’re not responsible for third-party services or their data practices
  • We’ll handle integration data in accordance with our Privacy Policy

10. Limitation of liability

To the maximum extent permitted by law:

  • ChatAgent is provided “as is” without warranties of any kind
  • We’re not liable for indirect, incidental, or consequential damages
  • Our total liability won’t exceed the fees you paid in the 12 months before the claim
  • We don’t guarantee uninterrupted or error-free service

11. Indemnification

You agree to indemnify and hold ChatAgent harmless from claims arising from your use of the service, including violations of these Terms, applicable laws, or third-party rights.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States. Disputes will be resolved in the courts of Wilmington, Delaware.

13. Changes to these terms

We may update these Terms from time to time. We’ll notify you of material changes via email or in-app notice at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.
